Terms of Service

These Terms of Service ("Terms") govern your use of the Systabook platform ("the Service"), operated by Codex Brothers L.L.C. ("we," "us," "our"). By using Systabook, you agree to these Terms.

1. Description of Service

Systabook is a multi-channel warehouse listing and business management platform for used book resellers. The Service provides tools for:

Listing books on marketplace platforms (Amazon, eBay, Alibris) using your own seller accounts and credentials.
Inventory management, warehouse scanning, and location tracking.
Cross-platform sales synchronization and automatic delisting.
Automated and manual repricing.
Employee timeclock and attendance tracking.
Sales reporting and business analytics.
Book sorting and pricing rules.

2. Account Registration

Each subscriber account is created by a Systabook administrator and assigned a unique subscriber code.
You are responsible for maintaining the confidentiality of your subscriber code, employee PINs, and all credentials stored in the platform.
You must provide accurate business information during setup.
You may not share your account with other businesses or individuals outside your organization.

3. Platform Credentials

To use marketplace features, you must provide your own valid API credentials for each platform (Amazon, eBay, Alibris).
You represent that you have the right to use these credentials and that providing them to Systabook does not violate any agreement you have with the marketplace.
We store your credentials securely using AES-256 encryption and use them only to perform actions you've authorized through the platform.
You may remove your credentials at any time through the Settings page.
We are not responsible for any actions taken on your marketplace accounts through the normal operation of features you've enabled.

4. Data Ownership

Your data belongs to you. All inventory records, sales data, employee information, and business data you create or import into Systabook remains your property.
You grant us a limited license to store, process, and transmit your data as necessary to provide the Service.
You may export your data at any time using the platform's export tools.
Upon cancellation, you may request a full export of your data within 90 days.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any marketplace's terms of service.
Attempt to access another subscriber's data or account.
Reverse engineer, decompile, or attempt to extract the source code of the platform.
Use the Service to list counterfeit, stolen, or prohibited items.
Overload the platform with automated requests beyond normal business use.
Share your subscriber code or credentials with competitors or unauthorized third parties.

6. Service Availability

We strive for high availability but do not guarantee 100% uptime.
The Service depends on third-party infrastructure (MongoDB Atlas, Render, Amazon API, eBay API, Alibris FTP) which may experience outages beyond our control.
We will make reasonable efforts to notify subscribers of planned maintenance.
We are not liable for losses resulting from marketplace API changes, outages, or rate limits imposed by third-party platforms.

7. Billing and Payment

Subscription fees are billed according to the plan agreed upon during setup.
Fees are non-refundable except at our discretion.
We reserve the right to change pricing with 30 days' notice to active subscribers.

8. Cancellation

You may cancel your subscription at any time by contacting us at support@systabook.com.
Upon cancellation, your account will be deactivated and your data retained for 90 days.
After 90 days, all data associated with your account will be permanently deleted.
Active marketplace listings created through Systabook will remain on the marketplaces — we do not automatically end your listings upon cancellation.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
We are not responsible for pricing errors, listing errors, or inventory discrepancies resulting from marketplace API behavior, network issues, or data synchronization delays.
You are solely responsible for ensuring your marketplace listings comply with each platform's policies.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party marketplace's terms of service.

11. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Diego County, California.
